1. ENGAGEMENT
Company engages Contractor to perform the services described below, and Contractor accepts the engagement on the terms of this Agreement:

2. INDEPENDENT-CONTRACTOR RELATIONSHIP
Contractor is an independent contractor and not an employee, partner, joint venturer, or agent of Company. Specifically:
  (a) Contractor controls the manner and means by which the services are performed.
  (b) Contractor provides its own tools, equipment, software, and workspace.
  (c) Contractor is free to provide services to other clients during the term of this Agreement.
  (d) Contractor is not entitled to any employee benefits from Company, including health insurance, retirement contributions, paid time off, workers' compensation, or unemployment insurance.
  (e) Company will not withhold federal, state, or local income taxes, Social Security, Medicare, or unemployment taxes from amounts paid to Contractor.
  (f) Contractor is solely responsible for all self-employment taxes, estimated tax payments, and any business licenses or insurance required to perform the services.

3. TAX REPORTING (FORM 1099-NEC)
Company will report payments to Contractor on IRS Form 1099-NEC when total annual compensation meets or exceeds the IRS reporting threshold (currently $600). Contractor will provide a completed IRS Form W-9 before the first payment is issued. Contractor's legal/business name and taxpayer identification number on the W-9 govern 1099 reporting.

4. COMPENSATION
Company will pay Contractor [Fee].
Invoices are due on receipt unless otherwise stated. Past-due balances accrue interest of 1.5% per month, and Contractor may pause work on balances more than 15 days overdue.

5. TERM
This Agreement begins on [Start Date] and continues on a month-to-month basis until terminated by either party on fifteen (15) days' written notice (email acceptable). Termination does not relieve Company of the obligation to pay for services performed through the termination date.

6. WORK PRODUCT AND IP
Final deliverables produced specifically for Company under this Agreement become Company's property on full payment. Contractor retains ownership of its pre-existing materials, general methodologies, frameworks (including the 10xCFO Group (TM) Clarity to Growth™ system), reusable templates, and tools, and grants Company a non-exclusive license to use them as embedded in the deliverables.

7. CONFIDENTIALITY
Contractor will treat Company's non-public business and financial information as confidential and will not disclose it to any third party except as needed to perform the services with Company's consent, or as required by law. This obligation survives termination.

8. NO AUTHORITY TO BIND
Contractor has no authority to enter into contracts, incur obligations, or otherwise bind Company without Company's prior written approval.

9. INSURANCE AND INDEMNITY
Contractor is responsible for its own business liability insurance. Each party will indemnify the other for third-party claims arising from its own gross negligence or willful misconduct, subject to the limitation in Section 10.

10. LIMITATION OF LIABILITY
Contractor's total liability arising out of or relating to this Agreement will not exceed the total fees paid by Company to Contractor in the three (3) months preceding the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages.

11. COMPLIANCE; NATURE OF SERVICES
Contractor provides advisory and consulting services only. Contractor does not provide legal services, audit services, investment advice, or business valuation opinions unless engaged separately by an appropriately licensed professional. Company retains sole responsibility for all financial, operational, tax, legal, and investment decisions.

12. GOVERNING LAW
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in Texas.

13. ENTIRE AGREEMENT
This Agreement is the entire agreement between the parties on this subject and supersedes any prior discussions, proposals, or agreements. It may be amended only by a writing signed by both parties.

ACCEPTANCE
